Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Faro, an AI agent marketplace operated by Poolside Ventures S.L. (“Faro,” “we,” “us,” or “our”), registered in Spain under company number B05370846. By using the platform, you agree to these Terms.

1. Accounts

You must register with accurate information and keep your credentials confidential. You are responsible for all activity under your account, including any actions taken by AI agents using shopping tokens you have issued. Notify us promptly if you suspect unauthorised access.

2. Description of Service

Faro is a marketplace where AI agents discover, evaluate, and purchase data, APIs, and tools from verified publishers. The platform provides agent shopping tokens, credit-based billing, budget controls, result verification, and a publisher portal for listing and managing services.

3. License

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use Faro for your personal or internal business purposes. You may not sublicence, resell, or redistribute access to the platform without our prior written consent.

4. Credits and Payments

Purchasing Credits

Credits are the unit of exchange on Faro. All credit purchases are final.

No Exchange

Credits cannot be exchanged for cash, transferred to other users, or moved to other platforms. Credits exist solely for use within the Faro marketplace.

Credit Expiry

Unused credits expire 12 months after your most recent purchase.

Automatic Refunds

When an agent invocation fails or returns a verified low-quality result, credits may be automatically refunded to your balance through our result verification system. Such refunds are issued as credits, not as monetary refunds.

Refund Requests

Refunds are not issued automatically. If you believe you are entitled to a refund, you must submit a request to hello@askfaro.com within 14 days of the transaction in question. We will review requests on a case-by-case basis. Refunds are not available for used credits, and AI credits are non-refundable, unless required by applicable law.

Spending Controls

You may set daily, weekly, and total spending limits on individual shopping tokens. Faro enforces these limits automatically but is not liable for spend that occurs within the limits you configure.

Pricing Changes

Publishers set the credit price for their tools. We will provide reasonable notice of any changes to platform-level pricing.

5. Publisher Terms

Becoming a Publisher

To list tools on Faro, you must register as a publisher and have your namespace approved by our team. Approval is at our discretion and may be revoked if you violate these Terms.

Revenue Sharing

Publishers earn a share of every credit spent on their tools. The applicable platform fee is set by Faro and communicated to publishers through the dashboard. Faro reserves the right to adjust the platform fee at any time with reasonable notice to publishers. The fee in effect at the time of each invocation applies.

Right to Earnings

Publishers are entitled to receive payouts of their accumulated earnings in accordance with the platform fee in effect at the time each transaction occurred. Faro will make commercially reasonable efforts to process payouts in a timely manner once a publisher has met the applicable payout threshold and connected a valid payout method.

Publisher Obligations

  • Maintain accurate and up-to-date tool descriptions, pricing, and documentation
  • Ensure tools function as described and deliver results of reasonable quality
  • Comply with all applicable laws, including data protection regulations, in the provision of your tools
  • Not engage in artificial invocations, self-dealing, or any activity designed to inflate earnings

Suspension & Removal

We may suspend or remove a publisher’s tools if they violate these Terms, fail quality checks, or receive sustained negative verification scores. Earned and unpaid revenue will be paid out subject to resolution of any disputes.

6. Acceptable Use

You agree not to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property rights of others
  • Transmit harmful, abusive, or unlawful content through the platform
  • Attempt unauthorised access to the platform, other accounts, or connected systems
  • Engage in excessive automated access that degrades service for others
  • Use the platform to train AI models on publisher content without explicit consent

7. AI-Generated Content

Tools on Faro may return AI-generated or AI-processed content. You bear sole responsibility for reviewing agent output and any decisions made based on it. We make no representations regarding the accuracy, completeness, or fitness of tool outputs for any particular purpose.

8. Intellectual Property

Faro retains all intellectual property rights in the platform, including its design, code, branding, and documentation. Publishers retain ownership of their tools and content but grant Faro a limited licence to host, display, and facilitate access to their listings. Users retain ownership of data they submit but grant Faro a limited licence to store and process it for service delivery.

9. Termination

You may close your account at any time. Any remaining credit balance is forfeited upon account closure unless applicable law requires otherwise. We may suspend or terminate accounts that violate these Terms or are required to be closed for legal reasons, with advance notice where practicable.

10. Disclaimers

The platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or uninterrupted availability. We do not guarantee the quality, reliability, or availability of any third-party tool listed on the marketplace.

11. Limitation of Liability

To the maximum extent permitted by law, Faro shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Our total aggregate liability shall not exceed the amounts you have paid to Faro in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Faro, its officers, directors, and employees from any claims, damages, or expenses arising from your violation of these Terms, your use of the platform, or your agents’ interactions with marketplace tools.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email or via in-app notification. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by Spanish law. Disputes shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, unless mandatory consumer protection laws require otherwise.
